CAPTARGET Terms of Service

CAPTARGET, Inc. ("CAPTARGET," "we," or "us") delivers professional deal origination services ("Services") to clients ("Client" or "you"). These Terms of Service govern all aspects of our relationship.

1. Information You Provide When engaging our Services, you may share information about yourself or your business. Our Privacy Policy details how we handle this information. 

2. Payment Requirements and Service Activation All clients must submit a completed payment authorization form before service activation can occur. This form authorizes CAPTARGET to process monthly charges according to your service agreement. Important note: Services begin only after successful receipt and processing of your initial payment, not upon contract signature. All CAPTARGET service agreements function as subscriptions that automatically renew for periods matching your initial term unless properly cancelled.

3. Assignment of Specific Rights To facilitate effective deal origination services, you grant CAPTARGET permission to:

  1. Utilize client alias email addresses for fulfilling your project requirements
  2. Communicate directly with relevant third parties including target business owners, executives, IT personnel, business intermediaries, and your affiliates when necessary for service delivery

4. Confidentiality Protections Both parties may access non-public confidential or proprietary information during our engagement. This encompasses details about business operations, financial conditions, customers, prospects, and any information either marked confidential or reasonably understood to be confidential. Both parties commit to treating such information with appropriate care and using it exclusively within the agreed scope of work.

5. Fulfillment and Service Policies

a. Cancellation Protocol: All CAPTARGET services require 30 days' written notice for cancellation, regardless of contract type. To initiate this process, submit your cancellation request in writing to our designated address. Upon receipt, we will acknowledge your request and process the cancellation effective 30 days from notice receipt. During this 30-day period, you retain full service access and remain responsible for payment.

b. Subscription Management: We provide specific subscription terms at or before your initial purchase. Following your initial contract period, your subscription automatically renews for identical periods unless properly cancelled. If you miss the cancellation window before an automatic renewal activates, you remain financially responsible through the next period following proper cancellation notice.

c. Refund Limitations: Due to the specialized nature of deal origination services and the immediate resource allocation upon engagement, CAPTARGET maintains a no-refund policy for all services. We commit to delivering your contracted services as detailed in your agreement. If service concerns arise, we encourage immediate communication with your assigned representative, who will address any issues.

d. Payment Interruptions: For payment difficulties, we provide a two-week (14 calendar days) grace period from the failed payment date. During this time, we will attempt contact through multiple channels. If payment issues remain unresolved after the grace period, we reserve the right to suspend all services until your account returns to good standing. You acknowledge that such suspensions may significantly impact ongoing deal origination strategies, and CAPTARGET bears no responsibility for opportunities missed during suspension periods. Service typically resumes within two business days after payment resolution.

6. Service Deliverables and Specifications We reserve the right to modify features, content, specifications, and pricing of our services. Unless specifically guaranteed, all metrics, timelines, and similar descriptions represent approximations provided for convenience. By engaging our services, you commit to using them in a lawful manner.

You receive unrestricted use of all deliverables we provide. However, unused deliverables (email campaigns, content pieces, contacts, etc.) during your service cycle cannot be credited toward future months or rolled over. This policy exists to encourage the timely approval of time-sensitive materials.

7. Liability Constraints Under no circumstances will CAPTARGET bear responsibility for indirect, punitive, incidental, special, consequential, or exemplary damages resulting from service usage or interruption, including lost profits, property damage, or other losses related to these Terms of Service, even when foreseeable.

You acknowledge that CAPTARGET bears no liability for direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to lost profits, goodwill, data, or other intangible losses resulting from your service usage.

8. Additional Client Acknowledgments You recognize these additional service conditions:

  1. You must approve all target lists, and CAPTARGET bears no responsibility for delays in your response times, which may affect deliverable volume during an engagement.
  2. You may not use our services for illegal or unauthorized purposes and must comply with all relevant laws in your jurisdiction.
  3. You bear responsibility for complying with all applicable local, state, national, and foreign laws related to your service usage.
  4. CAPTARGET reserves the right to modify, suspend, or discontinue services at any time.
  5. We may utilize third-party vendors and hosting partners to provide the necessary technology infrastructure for service delivery.

9. Terms Modification We reserve the right to modify these Terms of Service at any time, with changes applying prospectively. The current version remains accessible on our website.
